SECTION 01
1. The Services
Cliodot provides infrastructure for building, executing, publishing and operating integrations and software capabilities.
The Services may include:
Connectors Workflows Gateways Surface OAuth applications Authentication applications Webhook applications Remote capabilities Scheduling Custom domains SDKs APIs Connector Hub Usage and execution services Arrikk AI Enterprise and licensed deployments Documentation and related tools
We may improve, modify, add or remove features as the Services evolve.
SECTION 02
2. Eligibility
You must be legally capable of entering into a binding agreement to use the Services.
You may not use the Services where doing so would violate applicable law, regulation, sanctions or contractual restrictions.
The Services are not intended for children under the minimum age required to consent to online services in their jurisdiction.
SECTION 03
3. Accounts and Organizations
You may need an account to access parts of the Services.
You agree to provide accurate information and keep your account details current.
You are responsible for:
Protecting your login credentials Controlling access to your account Configuring appropriate organization permissions Reviewing actions taken through your account Promptly notifying us about suspected unauthorized access
You are responsible for activity performed through your account unless the activity resulted directly from a failure of Cliodot’s security obligations.
Organization administrators may manage members, permissions, projects, applications, environments and billing settings.
SECTION 04
4. Customer Systems and Credentials
The Services may connect to third-party applications, APIs, databases, infrastructure and internal systems selected by you.
You are responsible for confirming that you have the right to:
Connect each system Provide or authorize credentials Access the relevant data Perform configured actions Transfer data through the Services Make capabilities available to other users or organizations
Depending on your configuration, credentials may be managed by Cliodot, managed by you or operated through a hybrid model.
You are responsible for selecting the credential model appropriate for your security, regulatory and operational requirements.
SECTION 05
5. Acceptable Use
You may not use the Services to:
Violate applicable law or regulation Access systems without authorization Infringe intellectual property or privacy rights Introduce malware or harmful code Interfere with the integrity or availability of the Services Circumvent technical restrictions, quotas or security controls Conduct credential theft, phishing or fraudulent activity Send unlawful or abusive communications Process data you are not permitted to process Probe or test systems without permission Resell access in a way that violates your plan or agreement Use the Services to build or operate a directly competing platform by extracting or reproducing protected Cliodot technology
We may investigate suspected misuse and take reasonable action to protect the Services, our users and third parties.
SECTION 06
6. Customer Content
“Customer Content” means data, connector definitions, workflows, code, configuration, schemas, credentials, files, prompts, outputs and other material submitted to or processed through the Services by you.
You retain ownership of your Customer Content.
You grant Cliodot a limited right to host, process, transmit, copy and otherwise use Customer Content only as necessary to:
Provide the Services Execute your instructions Maintain security and reliability Prevent abuse Provide support Comply with applicable law
You represent that you have the rights required to provide and process Customer Content through the Services.
SECTION 07
7. Third-Party Services
Cliodot may enable access to third-party providers.
Third-party services are governed by their own terms, privacy policies, availability and technical requirements.
Cliodot does not control third-party services and is not responsible for:
Provider outages Provider API changes Provider restrictions Provider data practices Provider account suspensions Provider pricing Actions performed by the provider
We may update or remove connector functionality when required by changes to a third-party service.
SECTION 08
8. Connectors and Connector Hub
Connectors may be provided by Cliodot, customers or third-party publishers.
A connector publisher is responsible for the accuracy, security and legality of the connector they publish.
Cliodot may review, restrict, suspend or remove connectors that create security, legal or operational risk.
Installation of a connector does not constitute an endorsement of the provider or publisher.
Private connectors remain subject to these Terms even when they are not publicly discoverable.
SECTION 09
9. Surface, Gateways and Published Capabilities
You may use the Services to publish APIs, SDK methods, MCP tools, GraphQL operations, WebSocket capabilities and other programmable interfaces.
You are responsible for:
The capabilities you expose The permissions applied to them The users or organizations granted access The data returned through them Rate limits and quotas Published documentation Version management Compliance with third-party provider restrictions
You must not expose an operation you are not authorized to provide.
SECTION 10
10. Remote Capabilities
Remote allows organizations to request and use capabilities published by another organization.
The publisher controls whether access is granted and may define:
Permitted actions Expiration Environments Rate limits Quotas Other usage restrictions
The requesting organization must use the capability only for the approved purpose and within the attached permissions.
The publisher may revoke access in accordance with the applicable configuration or agreement.
SECTION 11
11. Arrikk AI and Generated Output
Arrikk AI may assist with connector creation, workflow generation, configuration, documentation, mapping and other platform activities.
AI-generated output may be incomplete, incorrect or unsuitable for a particular production environment.
You are responsible for reviewing generated output before publishing or executing it.
You must not rely on AI-generated output as a substitute for professional legal, financial, medical, security or compliance advice.
Cliodot may use third-party model providers to deliver selected AI capabilities. Applicable data handling information will be described in our Privacy Policy or relevant service documentation.
SECTION 12
12. Fees and Payment
Some Services require a paid subscription, usage-based payment, enterprise license or separate agreement.
You agree to pay applicable fees according to the pricing, order form or agreement presented to you.
Unless otherwise stated:
Fees are exclusive of applicable taxes Payment obligations are non-cancellable Paid fees are non-refundable except where required by law Usage charges are based on recorded platform activity You are responsible for maintaining valid billing information
We may suspend paid features when undisputed fees remain overdue after reasonable notice.
SECTION 13
13. Trials, Betas and Preview Features
We may provide trials, beta features, previews or experimental services.
These features may:
Change without notice Contain errors Have limited support Be unavailable in some environments Be discontinued before general release
You should not use preview features for critical production workloads unless we expressly state that they are suitable for that purpose.
SECTION 14
14. Intellectual Property
Cliodot and its licensors retain all rights in the Services, including:
Platform software User interfaces Documentation Designs Logos Trademarks Runtime technology Generated service components Proprietary models and methods
Except for the limited rights required to use the Services, these Terms do not transfer ownership of Cliodot intellectual property to you.
SECTION 15
15. Feedback
You may provide suggestions, ideas or feedback about the Services.
You grant us the right to use that feedback without restriction or payment, provided that we do not identify you publicly as the source without permission.
SECTION 16
16. Security
We use reasonable technical and organizational measures designed to protect the Services.
However, no system is completely secure.
You are responsible for:
Configuring access permissions Protecting API keys and secrets Reviewing connector installations Restricting exposed capabilities Using secure environments Rotating compromised credentials Applying appropriate input validation and usage limits
You must notify us promptly when you become aware of a security incident involving the Services.
SECTION 17
17. Confidentiality
Information disclosed by one party to the other that is identified as confidential or would reasonably be understood as confidential must be protected using reasonable care.
Confidential information does not include information that:
Becomes public without breach Was already lawfully known Is independently developed Is lawfully received from another source
A party may disclose confidential information where required by law after providing notice where legally permitted.
SECTION 18
18. Suspension
We may suspend access when reasonably necessary to:
Prevent security harm Stop unlawful activity Protect the Services or other users Respond to a legal requirement Address a material breach Resolve overdue payment Prevent excessive usage that threatens platform stability
Where practical, we will provide notice and an opportunity to resolve the issue.
SECTION 19
19. Termination
You may stop using the Services at any time.
You may close your account according to the available account controls or by contacting us.
We may terminate access for material breach, unlawful use, security risk or prolonged inactivity, subject to applicable agreements and law.
Upon termination:
Your right to use the Services ends Outstanding fees remain due We may delete Customer Content after the applicable retention period Provisions intended to survive will remain effective
Enterprise agreements may include different termination and data-return terms.
SECTION 20
20. Service Availability
We work to provide reliable Services, but availability may be affected by:
Maintenance Infrastructure incidents Third-party providers Internet conditions Customer configuration Events outside our reasonable control
Any service-level commitment applies only where expressly included in a separate written agreement.
SECTION 21
21. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.”
We do not warrant that:
The Services will always be uninterrupted Every connector will remain compatible with a provider Generated output will be error-free The Services will meet every regulatory requirement Third-party services will remain available Customer configurations will produce a particular result
Nothing in these Terms excludes warranties that cannot legally be excluded.
SECTION 22
22. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data.
Cliodot’s total liability arising from the Services will not exceed the amount paid by you to Cliodot for the Services during the [twelve] months before the event giving rise to the claim.
This limitation does not apply where liability cannot legally be limited.
Enterprise agreements may specify different liability terms.
SECTION 23
23. Indemnification
You agree to defend and indemnify Cliodot against third-party claims arising from:
Your Customer Content Your published capabilities Your unlawful use of the Services Your violation of third-party rights Your breach of these Terms
Cliodot will provide reasonable notice and cooperation for a covered claim.
Enterprise agreements may contain different indemnification provisions.
SECTION 24
24. Changes to These Terms
We may update these Terms to reflect changes to the Services, law or business operations.
We will provide notice of material changes through the Services, by email or through another reasonable method.
The updated Terms will take effect on the stated effective date.
Continued use after that date constitutes acceptance where permitted by law.
SECTION 25
25. Governing Law
These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-law principles.
Any dispute will be resolved in the courts located in [Location], unless another dispute process applies under a separate agreement or applicable law.
SECTION 26
26. General Terms
These Terms, together with any order form or enterprise agreement, form the agreement between you and Cliodot regarding the Services.
Where a signed enterprise agreement conflicts with these Terms, the enterprise agreement controls.
You may not assign these Terms without our consent, except as part of a permitted corporate reorganization or transfer of substantially all relevant assets.
Our failure to enforce a provision is not a waiver.
If a provision is unenforceable, the remaining provisions remain effective.
